Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Compensation and Human Resources Committee (the “Committee”), on November 10, 2021, approved discretionary cash awards in recognition of the efforts of the leadership team in managing the recent acquisition of Amalgamated Bank of Chicago. The amounts were $75,000 for Senior Executive Vice President, Chief Financial Officer Jason Darby and $15,000 for Executive Vice President, Business Development Sam Brown, and are payable on November 26, 2021.
